Wholesale Eligibility

  • Offered to approved retail businesses. We may request trade references or additional information to confirm eligibility.

Orders & Approval

  • All orders are subject to Arcadian approval and available inventory.

  • Orders must meet product line MOQs and case-pack rules.

  • We may refuse or cancel any order (e.g., suspected fraud, inaccurate information, account status).

Pricing, Taxes, and Payment

  • Prices and availability may vary by region and are subject to change.

  • Applicable taxes are based on the ship-to address and tax status on file.

  • Net 30 terms are available for approved accounts; otherwise payment is due at checkout.

  • Late balances may pause new shipments until current.

Shipping & Risk of Loss

  • Primary carrier is UPS (see Shipping Policy).

  • Title and risk of loss pass to the customer when the carrier accepts the shipment.

  • We assist with carrier claims and replacements per our policies.

Guaranteed Sales Program

  • If a style isn’t selling, Arcadian will replace it at no cost to keep the display productive.

  • Items must be in saleable condition; store-caused or environmental damage is excluded.

  • Program details or cadence may evolve to improve outcomes; we’ll communicate changes.

Returns & Credits

  • Defective or incorrect items are eligible for return/credit if reported within 7 days of delivery and authorized (RMA).

  • Custom/personalized items are not returnable.

  • Credits are issued after confirmation or inspection; see Returns & Credits Policy.

Merchandising & Display Care

  • Our merchandising partner typically services displays every 4–6 weeks.

  • Retailers agree to keep the display on the sales floor, accessible, and in standard retail conditions (clean, dry, climate-appropriate).

Intellectual Property & Marketing Assets

  • Arcadian names, logos, designs, imagery, and creative materials are Arcadian property and may be used only with written permission.

  • Approved marketing assets may be provided for in-store and digital use; do not alter trademarks or state designs.

Sales Channels & Territory

  • Resale on third-party online marketplaces may require written approval to protect brand integrity and regional positioning.

  • We may segment assortments by region to preserve local relevance.

Limitation of Liability; Indemnification

  • To the maximum extent permitted by law, Arcadian is not liable for indirect, incidental, or consequential damages.

  • You agree to indemnify Arcadian for third-party claims arising from misuse of products or unauthorized channel sales.

Force Majeure

  • We are not responsible for delays or failures caused by events beyond our reasonable control (e.g., weather, carrier disruptions).

Governing Law & Disputes

  • Governed by the laws of the State of Idaho, without regard to conflict-of-law principles.

  • Venue and jurisdiction as permitted by applicable law.
